What's yours?Position Overview Hunter Douglas (HD) is looking to hire an attorney to join its Legal Department and support HD's operations in the Americas & Asia zone. Reporting to the General Counsel, the Associate Corporate Counsel will work closely with a broad range of internal clients and external partners to help drive successful outcomes across a variety of critical legal and business support areas, including advising on a broad range of corporate and commercial transactions, leading contract negotiation and drafting efforts across the business, partnering with various business functions to proactively identify and mitigate risks, and managing and resolving litigation and disputes. Responsibilities will also include providing legal advice in substantive areas common to a global manufacturer, including, but not limited to corporate governance, entity management, employment, intellectual property, technology transactions, litigation, real estate, mergers & acquisitions, and other strategic transactions. The position will be hybrid and located in New York City.What You'll Do Draft and negotiate contracts and ancillary agreements, including sales, distribution, supply, and vendor agreements, IT and software agreements, SOWs, bid documents, equipment purchase/lease agreements, non-disclosure agreements, promissory notes, guarantees, real estate lease agreements, and various other agreements.Lead or assist in the creation of new corporate entities and maintenance of existing entities, including drafting formation documents and advising on entity registrations, business qualifications, compliance and filing requirements, and corporate governance matters.Assist in the support of the HR department with respect to the design and implementation of various HR policies and procedures, review and negotiate vendor agreements for employee benefits and related services, and counsel HR managers on labor and employment matters.Advise with respect to a broad range of advertising, marketing and sponsorship matters, including sweepstakes, contests and promotions as well as internet, social media and e-commerce matters.Support mergers, acquisitions, divestitures, and other large-scale transactions, including assisting with due diligence efforts and the review and negotiation of substantive transaction agreements.Interpret and explain legal requirements and assist the organization with compliance with statutes, regulations and industry rules.Manage outside counsel to ensure high-value, cost-effective representation.Support the General Counsel, Associate General Counsel, and other members of the legal department in management of enterprise-wide legal matters and initiatives.Experience managing or supporting privacy matters is a plus.Who You Are Education and Licensure: Bachelor's Degree, along with J.D. from an accredited Law SchoolActive member of the NY Bar or ability to become Registered In-House Counsel in NY.Experience Required: 4+ years of legal experience (prior in-house legal experience a plus)Experience in the drafting, review and negotiation of a broad scope of commercial contracts.Significant experience collaborating and working on broad array of corporate and commercial transactions with colleagues across multiple functions, including those in senior and executive leadership.Proven record of accomplishment in relationship management with internal and external stakeholders.General Requirements: Ability to work in a dynamic, fast-paced environment, and to adapt quickly to changing priorities.Good judgment, keen diplomacy, and strong communication skills.Ability to work independently with limited oversight and successfully manage multiple priorities and competing demands.Excellent interpersonal skills with the ability to build strong working relationships across the organization.Outstanding project management and organizational skills with attention to detail.Ability to thoughtfully balance the legal and commercial aspects of an issue.A solutions-oriented self-starter with the ability to quickly see and understand the big picture.Outstanding leadership skills with the ability to establish strong business relationships and adeptly inspire trust and confidence with your colleagues.A practical and proficient issue spotter who sees through the complexity and is a creative problem-solver.An analytical mind and a passion in bringing new ideas to increase the efficiency of and improve existing processes.What's In It For You Annual base salary range: $176,000 - $185,000Bonus target range: 45-55%Generous benefits package including medical, dental, vision, life, disabilityA company culture that prioritizes internal development and professional growthTime off with pay401(k) plan with a degree of employer matchingPaid parental leaveWellness programs and product discounts.Please note, all offers presented to candidates are carefully crafted to ensure market competitiveness, equity, and reflect the individual candidate's education, experience, skills and potential.Hunter Douglas is an Equal Opportunity Employer and complies with applicable employment laws.
