Associate General Counsel - Cleveland - Keller Executive Search : Job Details

Our client, a leading company providing distribution services to the manufacturing sector, is seeking an experienced Associate General Counsel to join their dynamic legal team. This role offers a unique opportunity to work in a diverse business environment, encompassing distribution, warehousing, manufacturing, and licensing.

• Draft, review, and negotiate a wide variety of corporate contracts, with a focus on manufacturing, distribution, and logistics.
• Review contracts related to buying and selling products, particularly for products manufactured overseas.
• Manage and oversee licensing agreements.
• Provide legal support on corporate governance, compliance, and risk management.
• Handle lease agreements for warehouses and facilities.
• Assist with HR and employment law matters, including familiarity with California labor laws, especially regarding termination.
• Support bank financing arrangements and negotiations, including the ability to read and interpret loan documents.
• Maintain current knowledge of relevant legislative changes.
• Coordinate with external legal counsel as needed.

• Juris Doctor (JD) from an accredited law school.
• Active membership in good standing with the relevant State Bar.
• Minimum 7+ years of relevant experience in a law firm or corporate legal department.
• Strong background in contract law, lease agreements, and related business practices.
• Experience in manufacturing and distribution industries preferred.
• Familiarity with licensing agreements and intellectual property law.
• Knowledge of California labor laws.
• Exceptional drafting, communication, and negotiation skills.
• Ability to handle multiple tasks efficiently in a fast-paced environment.

• Hybrid role based in Cleveland.
• 2-3 days per week in the office required.
