Job Overview – Associate General Counsel (Funds Attorney): Step into a key role as an Associate General Counsel with our client, based in either New York City or Greenwich, CT. In this full-time role, you'll oversee fund-related legal matters, ensure compliance, and provide legal guidance across various investment vehicles, collaborating with the General Counsel and internal teams.
Total Compensation: $500,000 – $600,000/year (All-In) Location: New York, NY or Greenwich, CT Schedule: Monday to Friday (In-Office)
Responsibilities as the Associate General Counsel (Funds Attorney):
- Fund Agreements: Work independently or with outside counsel to prepare, review, and negotiate all fund-related agreements, including PPMs, IMAs, subscription documents, and LLC/partnership agreements.
- Oversight: Manage corporate, investment management, and fund-related legal matters, ensuring all agreements and processes comply with applicable regulations.
- Offshore Governance: Oversee offshore fund governance, drafting board materials and minutes as required.
- Compliance: Collaborate with the Chief Compliance Officer on fund regulatory filings and support the firm's compliance with legal and regulatory standards.
- Collaboration: Provide legal support and guidance to the Investment, Operations, Tax, Accounting, and Marketing teams, ensuring all legal needs are met.
- Entity Management: Work with the in-house paralegal to manage the firm's legal entities, ensuring accurate and timely documentation.
Qualifications for the Associate General Counsel (Funds Attorney):
- Education: Law degree with strong academic credentials.
- Experience: 5-10 years of Legal experience in a Law Firm or In-House, with extensive expertise in Fund Formation and Investment Products.
- Regulatory Knowledge: Expertise in the Investment Advisers Act, Investment Company Act, UCITS, and CFTC/NFA rules.
- Global Compliance: Familiarity with ERISA, Bank Holding Company Act, AIFMD, and AML/KYC regulations.
- Skills: Strong analytical, judgment, and project management skills, with a collaborative mindset.
- Initiative: Ability to manage fund-related matters independently and work with outside counsel as needed.
