Vaya Health welcomes applications from NC, SC, GA, TN, VA, MD, and FL.GENERAL STATEMENT OF JOBThe Contracting & Vendor Management Director (Director) will oversee the Contracts Team, manage the entire contract process, collaborate with Vaya Health's in-house attorneys relating to the Contracts Team's responsibilities and develop and administer Vaya's new vendor management program. The primary goal of our Contracts Team's and vendor management program is to create efficiencies, drive service excellence, mitigate risks, and gain increased value from our designated providers and vendors, including subcontractors. The Director will be responsible for (1) managing the development, negotiation, execution, organization, storage, tracking, and reporting of all Vaya Health contracts, (2) working with internally-designated points of contact to manage provider, vendor, and subcontractor relationships, (3) managing the onboarding, training, monitoring, and assessment of vendors and subcontractors within the electronic contracts lifecycle management platform, (4) overseeing the workflow of contract requests within an electronic contracts lifecycle management platform, (5) providing customer service to, and maintaining open lines of communication with, other Vaya Health departments, and (6) supporting other Legal Department operations, as needed.ESSENTIAL JOB FUNCTIONSContracts Lifecycle Management:
- Oversee the training, utilization, and maintenance of Vaya's electronic contracts lifecycle management platform (CLM platform) and vendor relationship management application
- Manage organization, storage, and archiving of all Vaya Health contracts existing in paper form in compliance with records retention requirements
- Utilizing Vaya's CLM platform, manage the contracts process, including the complete contracts request workflow; drafting, negotiation and execution of contracts; organization and maintenance of a secure contracts repository that ensures compliance with record retention requirements; distribution of contracts; coordination and tracking of executed contracts; monitoring vendor risk and application of risk mitigation strategies; tracking vendor performance, contract breaches, service level agreements, data security assurances (SOC2/HITRUST), and other compliance requirements for designated vendor and subcontractor contracts
- Develop and monitor efficiencies in the CLM platform for internal users, including the initiator, Contracts Team, and end user
- Using artificial intelligence, create, manage, and update a clause library in the CLM platform
- Oversee the training of staff on contract workflow processes and CLM platform
- Liaise with and maintain professional working relationships with internal business teams and a subset of existing and prospective vendors, including with the CLM vendor
- Report on the content and status of contracts, including development and preparation of periodic reports for Executive Leadership, the Board of Directors, and NCDHHS
- Assist the Legal Team in developing, updating, and maintaining templates for contracts, notices, and letters
- Supervise Contracts Managers and Contracts administrative support in performance of job functions
- Work with the Vaya Finance Department to approve invoices and ensure timely and accurate payment
Vendor Oversight:
- Oversee the maintenance of vendor management records in the electronic vendor relationship platform
- Develop and administer evaluation methodologies for vendors
- Support other business teams with the onboarding and oversight of vendors, as needed
- Assess and report on vendor performance and risk in key areas
- Draft noncompliance notifications to vendors, including subcontractors
- Conduct, or support internal points of contact with conducting, prior assessments and reviews with prospective subcontractors
- Assist internal points of contact with the development of, update of, maintenance of, tracking on, and reporting on an oversight delegation plan for delegated activities for each subcontractor
- Participate in committees providing oversight over a subset of vendors
Procurement and Documentation:
- Work with Legal Team or business teams in preparing and managing procurement requests for application related to public purchasing and procurement requirements, when requested
- As requested by the General Counsel, Sr. Associate General Counsel, or their designee(s), develop staff, provider, and vendor (including subcontractors) trainings, education, and written guidance on contracting matters affecting the organization
- Assist the Sr. Associate General Counsel in reviewing, updating, and managing Vaya Health vendor management program policy, procedures, templates, forms, training plan, performance indicator metrics, contracting risk management strategies, and other measurements
- Develop and review other Vaya Health policies, procedures, forms, and templates to ensure compliance with applicable laws, rules, and regulations and to minimize potential risks and liabilities for the organization

QUALIFICATIONS & EDUCATION REQUIREMENTSMaster's degree in Public Administration or Business Administration. Juris Doctorate from an ABA accredited law school preferred (license is not required).
- Six (6) years of related work experience required
- Contracts management, vendor management, and/or procurement experience strongly preferred
- At least one year of supervisory experience strongly preferred
- Experience within an LME/MCO, the healthcare industry, an insurance company, or legal firm preferred
Preferred licensure/certification:
- Licensure as an attorney in good standing in a state is preferred, but not required.

- Physical activity in this position includes crouching, reaching, walking, talking, hearing and repetitive motion of hands, wrists, and fingers.
