About the Role:

We're seeking a Corporate Counsel to join our Legal team, reporting to our SVP Legal. This role will advise on U.S. corporate matters, which includes public company reporting, governance matters, subsidiary and legal entity management, strategic transactional support, and other corporate projects and challenges.

Additional areas of responsibility would include shareholder meeting proposals and board committee support. This role will partner with Planet's finance, accounting, investor relations and communications teams on external disclosures such as earnings releases and press releases.

Impact You'll Own:

  • Managing and overseeing: annual, quarterly and general SEC filings; Section 16 filings; board prep; proxy and AGM; earnings materials
  • Managing corporate governance and associated compliance
  • Maintaining/updating intercompany agreements
  • Collaborating with the legal team and company management on various special projects
  • Provide counsel and advice to cross-functional stakeholders and senior leaders to set the company's legal strategy on a broad range of matters related to corporate and transactional matters
  • Advise on potential liabilities, and work to protect the company's legal interests in various transactions and operations
  • Coordinate with internal departments to ensure legal considerations are integrated into business decisions
  • Review comms and marketing materials with an eye on corporate and securities matters (e.g. forward looking statements, etc.)
  • Monitor and ensure the company's compliance with all applicable laws and regulations, including industry-specific regulations
  • Act as a liaison between the company and external law firms
  • Train employees on legal matters and company policies to promote a culture of compliance and ethical behavior
  • Other duties as assigned

What You Bring:

  • Juris Doctor (JD) from an accredited law school.
  • 6+ years of legal experience with at least 4+ years of this experience as an attorney
  • Membership in at least one state bar
  • Superb written, oral, and interpersonal communication skills
  • Ability to build consensus for decisions and quickly drive to effective resolution
  • Experience proactively problem-solving and taking ownership over projects and responsibilities
  • Ability to effectively manage tight deadlines, competing demands, and multiple projects simultaneously with minimal supervision
  • Exceptional business acumen, and the ability to work collaboratively with diverse individuals at all levels of an organization
  • Proven leadership and customer-service focus in building relationships
  • Significant corporate law experience
  • Outstanding organizational, prioritization, and project management skills

Compensation:

The US base salary range for this full-time position at the commencement of employment is $182,900 - $228,600. Additionally, this role might be eligible for discretionary short-term and long-term incentives (bonus and equity). The final salary range is determined by job related experience, skills and location. The range displays our typical hiring range for new hire salaries in US locations only.
