ABOUT THIS ROLE:
We're looking for an experienced attorney to lead and guide on all legal matters across corporate governance, commercial, risk and compliance matters. You'll be a member of our dynamic operations team and report to our CEO, managing all legal matters and driving our commercial contracting process. The ideal candidate must have substantial hands-on experience providing legal advice and counseling on varied commercial transactions directly to the business, and will work cross-functionally with the operations, finance, sales, technology and product teams.
WHAT YOU'LL DO:Provide legal advice and guidance on corporate governance, contractual matters and regulatory compliance; Ensure compliance with relevant regulations and lawsReview, draft, and negotiate contracts, agreements, and legal documents with clients, internal employees, vendors, and other partiesAssist with corporate transactions, including fundraising, mergers and acquisitions, and strategic partnershipsCounsel Prizeout's product team on a range of issues including data and privacy compliance, commercial contracts, terms and conditions, privacy policies, consumer and financial regulatory compliance, go-to-market strategy, risk and marketingOversee various legal aspects of corporate governance, including board and shareholder matters, agendas, minutes, consents and resolutions, as well as equity compensation matters, intellectual property protection, and data and privacy law complianceCollaborate with and manage outside counsel on specialized legal matters, such as intellectual property, human resources and employment mattersDraft and update template agreements and corporate documents, corporate and information security policies and proceduresRepresent the company in legal proceedings, negotiations, and meetings with external partiesAdvise on employment matters as they arise, ensuring compliance with applicable lawMaintain organized and up-to-date records of all legal records, documents and correspondence, including enhancing the legal team's processes and compliance frameworksWHAT WE'RE LOOKING FOR:JD from a top law school and active member of the NY State Bar in good standing4+ years of experience with a strong primary background in commercial / technology transactions with secondary experience in privacy law; Fintech experience is a plusCorporate law, contract negotiation, and regulatory compliance is also preferableProven ability to build and maintain positive relationships with internal teams, external clients, and outside counselExpertise in negotiating, drafting, and modifying key terms of strategic commercial agreementsPractical, solution-oriented legal approach with a talent for identifying creative and effective solutions to business challengesAbility to communicate complex legal concepts effectively to non-legal stakeholdersExceptional judgment, responsiveness and the ability to work independently, prioritizing tasks and meeting tight deadlines with minimal supervisionAbility to thrive in a dynamic, fast-paced, collaborative, and high-growth environmentStrong team player with excellent communication skills and a proactive, hands-on approachMust be willing to work full-time in New York City; this is not a remote roleThe expected salary range for this position is $150,000-$185,000 annually based on experienceWHAT IS PRIZEOUT?
