Section 1: Position Summary

The Corporate Counsel will primarily support one or more business lines within Ascensus. The successful individual will provide legal counsel to leaders across multiple business areas and shared services functions. Key job responsibilities include acting as subject matter expert in relevant areas of law; negotiating and drafting contracts and related documents such as program descriptions; supporting a transfer agent, registered investment advisor, and broker-dealer; and other day-to-day legal matters. The Corporate Counsel will focus on the Ascensus Government Savings division, which services 529 college savings plans and other state-facilitated savings programs, and may support other divisions, which service 401(k)s, IRAs, health savings accounts, and other tax-advantaged savings plans.

Section 2: Job Functions, Essential Duties and Responsibilities

  • Draft, negotiate, review and interpret contracts and other legal documents, with clients (including state clients), partners, vendors and other third parties in support of the Ascensus Government Savings division, including complex, non-standard contracts.
  • Draft, maintain and review disclosure documents, including offering documents for 529 plans, pursuant to business or regulatory requirements, including the MSRB, SEC, FINRA, and the College Savings Plan Network.
  • Collaborate with business, risk and compliance departments – develop and maintain relationships with internal and external clients.
  • Provide advice and counsel to business leaders on legal, regulatory, legislative, compliance and business matters.
  • Review marketing materials.
  • Be responsible for handling major legal tasks involving complex legal, business and factual matters for which sound legal judgment, experience, and independent reasoning is required.
  • Handle day-to-day legal matters arising in a growing and complex business including complex commercial contracts, regulatory changes, and corporate governance.
  • Provide expertise in laws related to mutual funds, municipal fund securities and other investments, and regulated entities such as broker-dealers, investment advisors and transfer agents.
  • Responsible for protecting, securing, and proper handling of all confidential data held by Ascensus to ensure against unauthorized access, improper transmission, and/or unapproved disclosure of information that could result in harm to Ascensus or our clients.

    Section 3: Experience, Skills, Knowledge Requirements

  • Juris Doctorate from an accredited U.S. law school required with 3 - 5 years of experience.
  • Licensed to practice law in at least one state and in good standing.
  • Familiarity with privacy laws and experience in the financial services industry is preferred and 529 plan experience is optimal but not required.
  • Law firm and in-house experience is a plus.
  • Desire to work in a fast-paced and demanding environment.
  • Remote candidates will be considered and ability to travel occasionally is required.
  • Understand Ascensus' businesses and give practical advice to business leaders.
