Job Description :

We have been engaged by a full service privately held real estate company with nationwide development to recruit a 3-6 year corporate lawyer with M&A experience who has strong law firm training. This position will report to the Associate General Counsel Corporate (JV & Transactions) and will focus on drafting, reviewing, and negotiating multi-party LLC Agreements and limited partnership agreements, as well as related real estate development and construction documents. This position will also include participating in negotiations with third-party equity partners. Exposure to and some experience in drafting for real estate development and construction (e.g., development agreements, property management agreements and construction contracts) is preferred but not mandatory. This position is ideal for a proactive attorney who wants to perform substantive drafting and related legal work as part of complex legal transactions and is comfortable working in a fast-paced, collaborative environment.

Job Responsibilities:

  • Drafting and Negotiation: Depending on experience level, drafting, reviewing, and negotiating multi-party LLC Agreements and limited partnership agreements, as well as related real estate development and construction documents.
  • Entity Formation: Oversee the formation of entities and the preparation of all related formation documents.
  • Corporate Law Support: Provide a range of corporate law support across various legal matters as needed.
  • Advisory Role: Offer legal advice and guidance on business decisions, balancing both legal and commercial considerations.
  • Negotiations: Participate in negotiations with third-party equity partners, ensuring the company's interests are well-represented.
  • Collaboration: Work closely with the development, construction, risk management, property management, and accounting departments, as well as with external tax advisors, to ensure comprehensive legal support for all projects.

Experience and Qualifications:

  • Multi-Party LLC/LP Agreement Expertise: Exposure to and some experience with drafting complex multi-party LLC/LP agreements is preferred.
  • Corporate Law Knowledge: Strong understanding of corporate legal entities, specifically limited liability companies and limited partnerships, and the associated corporate laws involved.
  • Real Estate Development: Exposure to and some experience in drafting for real estate development and construction (e.g., development agreements, property management agreements and construction contracts) is preferred but not mandatory.
  • Firm Experience: Experience working in a larger law firm is preferred but not required.
  • Collaborative Skills: Ability to effectively collaborate with all internal departments.
  • Deadline Management: Ability to meet deadlines and work with a strong sense of urgency; responsiveness and quick turnaround are crucial.
  • Experience Level: 3-6 years of experience.
