Location: US - RemoteThe Corporate Development Manager will have the opportunity to join a highly acquisitive Corporate Development team and provide direct support across all stages of inorganic growth initiatives for ECI, including but not limited to mergers and acquisitions (M&A), equity investments, and additional strategic alternatives. The Corporate Development Manager will be tasked with performing critical quantitative analyses utilizing complex and sometimes disparate datasets (bottoms-up technology-centric operating models and projections, various valuation methodologies (DCF / sum of the parts), financial due diligence of targets) and qualitative analyses (CEO/Board-level investment memos, competitive landscape and reconciliation of market reports) for internal stakeholders in relation to the evaluation and impact of a merger or acquisition on the organization.In addition, the Corporate Development Manager must be highly proficient at interpersonal and communication skills to establish and maintain relationships with internal/external business partners and current and prospective global M&A targets. In doing so, the Manager will assist in maintaining a global M&A pipeline spanning across various deal stages, play a key role in M&A target sourcing efforts and lead management of functional due diligence during the acquisition process. Travel is essential for this role in order to complete due diligence and finalize any inorganic growth initiative. - Drive consistent weekly M&A target sourcing outreach and monitoring of a global M&A pipeline.
- Collaborate and maintain relationships with business and corporate development leadership to identify potential M&A opportunities and articulate their contributions to strategic objectives.
- Conduct preliminary quantitative and qualitative review of new target opportunities including creating preliminary review materials and leading initial due diligence efforts.
- Assist in strategic M&A evaluation and vetting efforts, including gathering input from cross-functional teams and incorporating comprehensive internal and external views into thoughtful, organized insights and business cases.
- Owning market and current events monitoring, capturing information on relevant market activity (including relevant transaction comps).
- Maintain a competitive landscape inventory of current and prospective ECI verticals including financial performance and other key business development activities.
Due Diligence:
- Create and manage target information request lists and have the focal responsibility for developing and tracking the timing of the delivery and digestion of the information (including organizing key functional areas (HR, IT, legal, etc.).
- Work with cross-functional teams to analyze key issues and develop fact-based recommendations.
- Developing, updating and revising internal resources such as presentations and models for financial and operational analyses.
Execution:
- Conduct due diligence, financial modeling and valuation, and rigorous analyses of quantitative, financial, and qualitative data in support of ECI's global M&A activities.
- Evaluate the implications of deal negotiations and provide support for decision process on key transaction document negotiation terms (IOI, term sheets, LOI, SPA, etc.).
- Serve as a support system to acquired management in developing and finalizing ECI's financial forecast including evaluating the acquired Company's sales pipeline, defining cost synergies and planning FTE growth.
- Prepare detailed evaluation and approvals packages for ECI Senior Leadership team, Board and internal stakeholders.
Integration:
- Assist in post-closing accounting and finance activities including working with third-party vendors for activities such as purchase price allocation, ECI's audit, etc.
- Identify and track potential add on M&A targets for acquired businesses post-closing.
- Develop and maintain financial tracking system for acquired business to manage performance against deal modeling expectations
Required Skills & Experience:Required Skills:
- Bachelor's Degree required, concentration in Accounting or Finance preferred.
- 4+ years of applicable strategy, finance or other highly analytical experience. A background in investment banking at a top tier U.S.-based bank or within a transaction advisory or financial diligence group at a 'Big 4' firm strongly preferred.
- Advanced level of Microsoft Excel and PowerPoint skills required.
- Proven ability to structure and conduct qualitative and quantitative research and analysis, including complex M&A modeling (bottoms up operating modeling, DCF valuation, sensitivity and pro-forma analyses), to support the development of fact-based insights.
- Ability to convey data in a straightforward fashion for a variety of internal and external stakeholders. Demonstrated ability to research, understand and succinctly explain complex issues, findings and situations.
- Strong general business acumen with an excellent understanding of financial risk assessment/management, P&L and budgeting.
