POSITION SUMMARY The Counsel is responsible for the review, drafting and negotiation of all forms of contract and agreements on behalf of Trinity Church Wall Street, as well as providing various legal and administrative services in support of the Associate General Counsel. The annual salary range for this position is $188,100 to $215,500. ESSENTIAL DUTIES AND RESPONSIBILITIES
  • Understand Trinity's structure, operations and programming in order to identify risks, develop solutions, and mitigation and negotiation strategies.
  • Support the Associate General Counsel in providing legal advice and counsel to internal business clients across Trinity.
  • Anticipate problems and key issues, and exercise sound judgment in making reasonable decisions and appropriately escalating issues when necessary.
  • Prepare, review, negotiate and manage various contracts, including vendor, confidentiality, space-use; and license agreements; waivers; location shoot requests; and talent engagement contracts.
  • Prepare abstracts of complex, proposed and existing contracts for counsel and internal clients.
  • Review, maintain and manage contract templates.
  • Assist in the preparation of confidential and sensitive documents.
  • Maintain strict adherence to confidentiality requirements and all other Trinity Wall Street policies, procedures, and rules.
  • Assume other related responsibilities and special projects as required.
REQUIRED KNOWLEDGE, SKILLS, AND ACTIVITIES
  • Expertise in drafting and negotiating a wide variety of commercial and programmatic agreements.
  • Outstanding interpersonal skills, with the ability to interface effectively with all functions throughout the organization.
  • Ability to read, analyze and interpret legal documents and financial reports, and ensure contractual relationships comply with applicable laws and regulations.
  • Ability to identify risks and suggest risk mitigants.
  • Strong verbal and written skills to draft and explain contract terms, conditions and application.
  • Exceptional attention to detail; meticulous proof-reading and document conformation skills.
  • Strong organizational, time management and problem-solving skills; ability to function in a fast-paced and dynamic environment.
  • Ability to succeed working independently with limited support, and as part of a collaborative team.
  • Proficiency with common Office applications and software (Word, Excel, PowerPoint, SharePoint, Outlook).
REQUIRED AND PREFERRED EDUCATION, EXPERIENCE, AND CREDENTIALS
  • JD degree from an accredited law school.
  • Minimum of 3-5 years' related experience, preferably with prior experience working in the not-for-profit sector.
  • Experience with client-facing responsibilities including negotiating with internal and external business partners and managing a contract process with multiple internal stakeholders at varying levels.
  • Experience with intellectual property, real property and information technology contracts is a plus.
