SummaryThe Director - Contracts Management is critical to the goal of Athens Services' Legal Department to ensure consistency in Company contracts, compliance with terms, and tracking of contractual obligations, along with maintaining data and information relating to responses for new business. Reporting to the General Counsel, the Director will be responsible for drafting and updating form agreements, drafting, reviewing and editing one-off contracts, and, working closely with IT, creating and maintaining a database for all company contracts that can be sorted and searched based on business entity, location, and expiration, and overseeing the paralegal for tracking liabilities and claims relevant to RFP responses.Job DescriptionContracts:Review, draft, negotiate, and manage a wide variety of contracts including, but not limited to, corporate agreements, commercial contracts, government contracts, consulting, marketing, licensing, privacy, leases, vendor agreements, non-disclosure, Cyber-and technical- service agreements, purchasing agreements, and other agreementsDraft, maintain, structure, update, and manage contract templatesProvide advice and counsel on contracts and relevant legal and regulatory requirementsEnsure contract compliance with legal requirements and company policiesManage contract change requests, amendments and extensionsWork directly with division and functional leaders and develop an in depth understanding of business unit activitiesOversee and manage Paralegal, including tracking critical priorities and day to day assignments.Perform other tasks and duties as assignedProcurement Support:Maintain data and information concerning responses to contract solicitationsPrepare proposals, disclosures, and related certifications for government contractsAssist with the development of policies, practices, and controls for responding to procurement opportunitiesUnderstanding compliance risks and identifying control gaps related to regulatory and contractual requirementsContracts Management:Develop contract review and approval processes, checklists and SOPs for consistency and alignment to company goalsDevelop existing agreement review SOPs for tracking term and termination, insurance, notice periods, and other critical terms to ensure contracts owners are alerted to ongoing obligationsWorking closely with IT, create and maintain a contracts database to track all Company contracts, including critical terms and timing for review QUALIFICATIONS:Bachelor's Degree and J.D. from accredited universitiesLicense to practice law in California4+ years of transaction / drafting experienceDemonstrated ability to provide strategic advice and legal counsel on all aspects of contracts lawExcellent communication skills, both written and verbal, with strong attention to detailWillingness to think outside of the box and to take on responsibilities outside your wheelhouseStrong interpersonal skills, along with the ability to communicate effectively with others at all levels of the organization (experience interacting at a senior level with business management teams a plus)Self-motivated with the ability to work well independentlyAbility to effectively and efficiently manage outside counselAbility to support different of types of contracts including contracts for novel business arrangements, such as collaboration agreementsExperience in solid waste industry preferred.Experience working with regulatory agencies preferred.Salary: $150,000 - $175,000Benefits:Competitive wagesComprehensive benefit package Medical, Dental, Vision401KLife InsurancePaid Vacation and Sick TimeCareer planRecognition programsProfessional development learningAn exceptional work environmentAthens will consider for employment qualified applicants with criminal histories in a manner consistent with the requirements of the Los Angeles Fair Chance Initiative for Hiring Ordinance and any other applicable state, federal or local laws.
