We're looking for an enthusiastic US-based In-House Counsel to supplement our UK-based legal team and provide legal support to the Access Group as it expands its reach into the Americas. To reduce time zone differentials (and better enable closer working with UK-based colleagues), candidates based within East Coast time zones are preferred.

Day-to-day, you will:

  • Support our high performing sales teams (across several divisions) that sell into American markets (primarily the US).
  • Create templates and other internal materials that help create consistency and efficiency in terms of contract risk management across the relevant Access group businesses in the Americas.
  • Manage a high volume of deals and ensure that sales into the US markets are consistent with risk, commercial and pricing policies adopted in Access's other geographies.
  • Manage the contractual aspects of enterprise sales deals throughout the sales cycle, both at bid stage and at the point of contract finalization.
  • Review, draft and negotiate partnership agreements, license distribution agreements, contract variations, licensing agreements and confidentiality agreements and provide advice to the relevant Project and Sales Managers on the application of terms and conditions of those contracts.
  • Review supplier contracts as part of our supplier management program.
  • As the only US-based member of the internal legal team, you would provide a first point of contact to American-based stakeholders for all legal matters.
  • Provide on-the-ground support for the UK legal team's litigation/disputes colleagues and (where appropriate) external litigation counsel in respect of any dispute matters in the Americas.
  • Help to ensure that contracting activities are carried out in accordance with local legislation and the Access group's policies and procedures.
  • Report to our UK-based Legal Director for the contracts function.

Skills and Experience:

Required

  • Minimum 4 years of relevant experience in commercial contracts, working in private practice and / or in-house (preferably in a tech / SaaS setting). 2+ years post-qualification experience preferred.
  • Excellent skills drafting, reviewing and negotiating commercial contracts. Experience in software (and in particular SaaS) contracts will be preferred.
  • Ability to identify, assess and manage any issues within our contracts arising as a result of differences between various US state laws.
  • Ability to balance competing priorities and influence a wide number of senior stakeholders to drive excellent outcomes for the business.
  • Ability to build strong and effective relationships with colleagues in different time zones (primarily UK).
  • A high degree of self-awareness and judgement with exceptional interpersonal skills will be required.
  • The successful candidate will be a pragmatic problem-solver with a strong work ethic, someone who enjoys exchanging ideas with others and working as part of a diverse, inclusive and open-minded team.

The salary range for this position is $100,000 - $120,000 annually. Compensation offered will be determined by several factors such as location, qualifications, skills, competencies and experience.
