Position Overview:

The Investment Funds Associate will play a pivotal role in advising clients on the formation, structuring, and management of various investment funds, including private equity, hedge funds, and other alternative investment vehicles. This position requires a deep understanding of fund operations, regulatory compliance, and client relationship management.

Responsibilities:

• Provide comprehensive legal advice on the formation and structuring of investment funds.
• Draft, review, and negotiate fund-related documents, including offering memoranda, partnership agreements, and subscription agreements.
• Conduct thorough due diligence on potential fund investments.
• Assist clients with regulatory compliance issues, including SEC and other regulatory filings.
• Support clients in navigating complex legal and financial issues related to fund management and operations.
• Collaborate with cross-functional teams to deliver integrated legal solutions to clients.

Qualifications:

• 2-6 years PQE with substantial experience in investment funds.
• Strong expertise in fund formation, structuring, and regulatory compliance.
• Excellent drafting, negotiation, and analytical skills.
• Admitted to practice law in New York.
• Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
• Strong interpersonal and communication skills to effectively interact with clients and colleagues.
