Position Overview:
Hiring firm is an investment manager with families of funds focused on primary commitments to venture funds, LP and direct secondaries, co-investments and direct investments.
The Company is seeking a Legal and Compliance Manager based in San Francisco who will skillfully and accurately assist in the coordination and execution of the Company's general legal and governance, regulatory compliance, and investment activities. As a member of the Legal & Compliance team, the Legal Manager will also contribute to the group's ability to develop, drive, and execute its own team-specific goals and objectives as well as assist in the execution of Company goals. The Legal Manager will report to the Head of Legal and Compliance and will work closely with a more junior Legal and Compliance Associate.
Essential Responsibilities:
Assist with the legal process and tracking of all investment-related activities for the entire life cycle of an investment. These activities typically include, but are not limited to: reviewing the legal documentation and tracking the legal progress of all primary fund investments, co-investments, and secondary investments in funds and operating companies; reviewing background check and due diligence materials; confirming fund investment guidelines and restrictions; documenting the allocation of investments between funds; dealing with Advisory Committee assignments related to investments; and recordkeeping related to the preceding.Manage certain regulatory compliance activities related to the Company's investments and funds that typically occur on a set schedule. This may include: activities related to the Company's Restricted Securities/ Blacklist; processes around outside affiliations reporting; activities related to jurisdictional registration, regulatory filings, and foreign compliance program set-up and monitoring; activities related to fund registration/maintenance, AML requirements; updating and revising the Company's organization chart and process authorities matrix; and activities related to investor requests from Corporate Development (DDQ, RFP, On-Site Investor Meetings, etc.).Supervise legal and governance activities related to the Company's funds. This will initially include: activities related to the legal documentation of General Partner interests; activities related to fund formation and post formation legal matters; limited partner transfers; entity formations and dissolutions; fund consents, amendments, and extensions; and activities related to investor side letter terms. Support the compliance team with implementation of the Company's compliance policies and procedures, as well as participate in the Company's annual compliance review. Respond to miscellaneous day-to-day matters and ad-hoc requests from investment and operations teams, including assisting with non-disclosure agreements, service agreements, and other routine commercial contracts.Continually and proactively work towards becoming an indispensable contributor to the Company. This may include: helping with the legal and regulatory aspect of the Company's latest business growth plan; managing legal invoice review and allocation; assisting other team members with the investigation of evolving laws and regulations; supporting ad-hoc legal projects; helping the team recognize opportunities for workplace efficiencies; and helping to identify ways this position can support evolving the Company's priorities/ workloads. Required Skills/Abilities:
- Familiarity with private investment funds: understanding of the legal and regulatory framework; ability to read structure charts and signature blocks; knowledge of fund governance and investment management.
- Experience negotiating, summarizing, and organizing various commercial contracts.
- Proficiency with Microsoft Office Suite, including Excel.
- Experience using virtual data rooms and/or legal agreement management tools to upload, version control, redline and organize documents.

Education and Experience:
- Bachelor's degree in a relevant field.
- Paralegal certification a plus.
- Notary Public license a plus.
- At least 6 years of relevant work experience in a similar position, ideally in the finance industry with a Registered Investment Advisor.
