Sycamore Energy Law, P.C. is seeking a Mid-Level Associate Attorney with a minimum of four years of experience. Preferred candidates should have project finance, M&A and general corporate experience in the renewable energy sector, with prior big law firm or in-house experience.Increase your chances of an interview by reading the following overview of this role before making an application.

The Mid-Level Associate will report directly to the lead attorney and is expected to work out of the firm's Santa Monica, CA location, though the option to work remotely may be available depending on experience. Client relationships are paramount to our practice and associates will develop relationships with our clients through professional communication, quality work product, and meeting our clients' needs with a positive attitude.

Primary job responsibilities include
  • Act as legal lead on financing transactions for renewable energy facilities, including construction financing, term debt and tax equity financings. Work with lead attorney to draft and negotiate financing documents including loan agreements, partnership agreements, security agreements and guarantees.
  • Act as legal lead on behalf of client for the acquisition and sale of solar energy facilities. Work with client team to structure and plan M&A transactions, if needed. Draft and negotiate transaction documents including purchase and sale agreements, disclosure schedules, and other ancillary documents.
  • Work directly with lenders, tax equity investors, project buyers and sellers and other business partners to negotiate commercial issues.
  • Coordinate diligence efforts on both project finance and M&A transactions, working closely with sponsor's counsel to obtain necessary documentation in support of commercial deal closings.
  • Manage subject matter experts, as needed, to facilitate project finance and M&A transactions.

The ideal candidate will be a self-starter with a positive attitude, solid written and oral communication skills, demonstrated ability to think deeply through and solve complex problems, the ability to work well on a team, and a dedicated work ethic. Interest in transactional law is a must. We seek to find and invest in a candidate who is interested in taking the long-term view toward partnership. Training will be on-the-job as needed, with the ability to work independently as a primary goal.
