Job Description The Ares Legal and Compliance Department oversees and manages Ares global Legal, Regulatory and Compliance functions and programs. Under the leadership of the Global Chief Compliance Officer, the Compliance and Regulatory functions are comprised of teams that operate collaboratively with a global focus, including Regulatory, which oversees all global regulatory matters including the Advisers Act, Investment Company Act and FINRA; European and Asia Pacific Compliance, which oversees region-specific compliance and regulatory matters; and Financial Crimes, which oversees Ares adherence to financial crimes-related rules and regulations. Ares is seeking a talented legal and regulatory professional to join our Legal and Compliance team to serve as a member of the Regulated Products team with a primary responsibility of supporting the day-to-day regulatory compliance needs of Ares registered investment companies (RICs) and business development companies (BDCs), including the annual assessment and maintenance of comprehensive compliance programs under the Investment Company Act of 1940 with additional focus on policies and procedures, where applicable, regarding compliance with the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934. Reporting relationships Reports to: Principal in the Regulated Products team within the Legal & Compliance Department. Supervises: n/a Primary functions & responsibilities Assist Regulated Product Chief Compliance Officer with the annual assessment and maintenance of comprehensive compliance programs under the Investment Company Act of 1940 with additional focus on policies and procedures, where applicable, regarding compliance with the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934 for each of the firms regulated funds Engage with and advise regulated fund management teams and boards of directors on all issues concerning regulated fund governance and compliance with the Investment Company Act of 1940 Assist Regulated Product Chief Compliance Officer with the review and assessment of investments and related business activities, with a focus on ensuring compliance with regulatory requirements of the Investment Company Act of 1940 and adherence to internal protocols, including appropriate resolution of conflicts of interest considerations and other fiduciary matters Advise on ad-hoc questions relating to corporate governance matters, SEC reporting obligations, information sharing and general compliance with the federal securities laws Assisting with the creation and management of regulated fund board materials Managing regulatory filings (e.g., 8-Ks, 10-Q/Ks, Form 10s, N-2s N-CSRs, prospectus updates) and assist with managing day-to-day regulatory compliance oversight of regulated funds Working with the in-house Legal & Compliance team and external counsel to monitor and implement legal and regulatory developments that impact the regulated funds Manage processes related to compliance with the conditions of the firms SEC Co-Investment Exemptive Order Work closely with other teams within the Legal and Compliance Department to ensure efficient development and application of the firms compliance and regulatory framework in connection with: new business needs, initiatives and developments; new regulatory activities and developments; and cooperation with and response to governmental and regulatory inquiries and examinations. Qualifications Education: JD required with a strong academic background Experience Required: 5-8 years of experience advising RICs and BDCs in-house or at a top-tier law firm Significant collaboration with colleagues across multiple functions, including those in senior and executive leadership Proven record of accomplishment in relationship management with internal and external stakeholders General Requirements: Superior communication skills and a demonstrated ability to create content to specified audience Strong client service orientation Excellent time management skills and ability to collaborate with others Outstanding leadership and project management capabilities Outstanding organizational skills with attention to detail; process oriented Ability to successfully manage multiple priorities and competing demands; result oriented A solutions-oriented self-starter with the ability to see the big picture A proficient issue spotter who sees through the complexity and is a creative problem-solver Ability to thoughtfully balance the legal and commercial aspects of an issue An analytical mind and a passion/interest in bringing new ideas to increase efficiency of existing processes Reporting Relationships Compensation The anticipated base salary range for this position is listed below. Total compensation may also include a discretionary performance-based bonus. Note, the range takes into account a broad spectrum of qualifications, including, but not limited to, years of relevant work experience, education, and other relevant qualifications specific to the role. $175,000-$220,000 The firm also offers robust Benefits offerings.
