Job Description :

An established law firm in NY is seeking an experienced and highly skilled Securities & Capital Markets Attorney to join their legal team. In this role you will advise clients on a broad range of securities law matters, including public offerings, private placements, mergers and acquisitions, and compliance with SEC regulations.

The ideal candidate will have expertise in ERISA, ACA, and related labor and employment laws.

Responsibilities include; drafting and review of registration statements, offering documents, and SEC filings, while also providing legal guidance on corporate governance, reporting obligations, and disclosure requirements.

The ideal candidate will have experience with federal securities laws, the Securities Act of 1933, the Securities Exchange Act of 1934, and related regulations. Strong communication, analytical, and drafting skills are essential, along with the ability to collaborate with clients and internal teams.

Qualifications:

  • Juris Doctor (JD) degree
  • Active bar membership in good standing in New York
  • 4 years of experience representing issuers and investment banks in public and private offerings of securities, advising publicly traded companies on compliance with the Securities Exchange Act of 1934, exchange listing standards and corporate governance required.
  • Strong analytical, research, and drafting skills.
  • Strong academic background and enthusiasm for client service and initiative are essential.
  • Excellent communication and interpersonal skills, with the ability to interact with clients and internal teams.
  • Ability to manage complex projects and meet deadlines effectively.
