**About the Role:**
Reporting to the Associate General Counsel, Global Head of M&A Legal and sitting in New York City, the Senor Counsel (M&A) will partner closely with our corporate development and leadership teams to provide legal expertise and practical guidance on mergers, acquisitions, strategic investments, joint ventures and similar transactions while proactively assessing and mitigating potential risks.
This job is part of the Legal Services job function. They are responsible for providing legal counsel and guidance in the ordinary and special activities of the organization.
**What Youll Do:**
+ Lead and manage the legal aspects of our M&A and related activities, including review and negotiation of purchase agreements, merger agreements, joint venture agreements and related transaction documentation.
+ Provide legal counsel and support throughout the transaction lifecycle, including legal due diligence, structuring, negotiation, documentation, closing and post-closing support.
+ Collaborate with key internal stakeholders (e.g., Tax, Finance, People, Ethics & Compliance, etc.) to identify, assess and thoughtfully mitigate risks and align legal strategy with business objectives.
+ Manage relationships with external legal advisors, ensuring efficient and cost-effective delivery of legal services.
+ Ensure compliance with applicable laws, regulations and corporate policies in all transaction-related activities.
+ Stay current with legal developments and industry trends related to M&A and corporate transactions.
+ Make decisions with a thorough understanding of our procedures, policies and practices to meet critical milestones and achieve superior results.
+ Develop and conduct legal training sessions for business colleagues and other Legal Department members.
+ Lead by example and model behaviors that are consistent with CBRE RISE values. Work to build consensus
+ Explain difficult or sensitive information.
+ Perform other job-related duties as may be assigned.
**What Youll Need:**

+ Juris Doctorate from a top tier, ABA accredited law school and Member of State Bar in good standing required with 7+ years of relevant experience.
+ Proven track record of running complex M&A and related transactions from inception to post-completion.
+ Strong business acumen, including exceptional communication and interpersonal skills.
+ High level of integrity and professional judgment.
+ Demonstrated ability to work in a fast-paced environment, lead multiple workstreams and set appropriate priorities with excellent follow through and organization.
+ Ability to work both independently and in a team environment, with a strong focus on collaboration and commerciality.

CBRE carefully considers multiple factors to determine compensation, including a candidates education, training, and experience. The minimum salary for the Senior Counsel position is $190,000 annually and the maximum salary for the Senior Cousel position is $220,000 annually. The compensation offered to a successful candidate will depend on their skills, qualifications, and experience. Successful candidates will also be eligible for a discretionary bonus based on CBREs applicable benefit program. This role will provide the following benefits: 401(K), Dental insurance, Health insurance, Life insurance, and Vision insurance.
