The Role: As the Sr. Contracts Counsel, reporting to Deputy General Counsel, you will be responsible for supporting the legal team in the commercial contract process, working closely with business and commercial internal clients to draft and execute beneficial commercial agreements. Additionally, you will record and track contract negotiations and renewals as well as support M&A activity and corporate governance efforts.

How You Will Make an Impact:

Contract Drafting and Management

  • Collaborate with internal clients to review, draft and negotiate commercial agreements, including NDAs, sales contracts, raw material and supply contracts, licensing agreements, agency and distribution agreements
  • Work with business and commercial teams to develop negotiation strategies and enforce contracting standards
  • Maintain database of contracts and forms, tracking status of negotiations and renewals
  • Support M&A activity, including working closely with external counsel
  • Support Legal Department projects and priorities as required

Corporate Governance

  • Support management of global corporate entity structure, including global subsidiary management
  • Providing support on M&A activity, including mergers, acquisitions, joint ventures and dispositions

Creating Extraordinary Starts With:

  • J.D. from an accredited law school
  • Valid license to practice in Texas. Other state licenses will be considered
  • Minimum of 5 years experience with an established law firm and/or significant experience with an inhouse legal department.
  • Experience with variety of commercial agreements, including sales, vendor, sourcing and raw materials, and non-disclosure agreements
  • Corporate governance experience a plus
  • Chemical industry experience also a plus
