Job Description

The VP, Counsel will work closely with the General Counsel and other members of the legal team to provide advice on various legal matters affecting the bank, including:

• Advise on a wide range of commercial lending transactions, loan agreements, IBOR transactions, loan modifications, depository matters, workouts, etc.
• Draft, review, and negotiate contracts and advise on legal risks associated with deals.
• Advise on bank regulatory matters.
• Assist with special projects as needed.
• Manage outside counsel.

The Successful Applicant

• JD/LLM degree.
• Admitted to NY State Bar.
• 6+ years of experience as an attorney handling banking and finance matters either in-house at a bank or at a top law firm.
• Experience drafting and negotiating contracts for a bank, including loan documents, commercial credit documents, IBOR transactions, general commercial finance transactions.
• Experience advising on different bank products from a legal and regulatory perspective.
• Experience relating to commercial loan workouts.
• Excellent written and verbal communication skills.
• Team player.
