POSITION SUMMARY: We are seeking a highly motivated and experienced Corporate Associate Attorney to join our team. The ideal candidate will have at least 3 years of experience in corporate law, with a specific focus on securities and mergers and acquisitions (M&A). This role offers an excellent opportunity to work on complex transactions and be an integral part of a growing and successful practice. KEY RESPONSIBILITIES: Mergers and Acquisitions: Advise clients on M&A transactions, including due diligence, drafting and negotiating purchase agreements, and handling closing and post-closing matters. Securities: Provide counsel on securities offerings, including private placements, public offerings, and compliance with securities regulations. Corporate Governance: Advise clients on corporate governance matters, including drafting and reviewing corporate documents such as bylaws, operating agreements, and shareholder agreements. Transactional Work: Handle a broad range of corporate transactions, including equity and debt financings, joint ventures, and strategic alliances. Client Relations: Maintain and develop client relationships, providing proactive legal guidance and ensuring the highest level of client satisfaction. QUALIFICATIONS: Juris Doctor (JD) degree from an accredited law school. A minimum of 3 years of experience in corporate law, with significant experience in securities and M&A. Strong understanding of securities laws and regulations, including experience with the SEC and related filings. Demonstrated ability to manage multiple projects and clients simultaneously. Excellent analytical, communication, and negotiation skills. A proactive, self-starter with a strong sense of ownership and accountability.
