The role
The successful applicant will serve as a Senior Paralegal in Avanos' Legal Department, focusing on providing corporate governance, SEC compliance and transactional support.
Essential Duties and Responsibilities:
Primary paralegal managing corporate governance, SEC compliance and board matters.
Prepare minutes, consents and resolutions to authorize corporate activities.
Prepare documents and communications needed for annual meetings and elections of officers and directors.
Assist with the preparation and review of the company's SEC filings, including Forms 3 and 4, 10-Ks, 10-Qs, 8-Ks and proxy statements.
Assist with the legal aspects of Avanos' transactional activities, including preparation of closing certificates and related filings.
Provide information, copies of documents, and certificates to a wide range of internal and external clients including Tax, Finance, Payroll, HR, and Treasury Departments, as well as vendors, clients, outside counsel and internal counsel.
Entity management and corporate services, including incorporations, amendments, qualifications, withdrawals, name changes, and tracking registrations/ filing reports.
Integrate new acquisitions into client structure by adopting standard by-laws, officers and directors, changing names, updating contracts, etc.
Obtain apostilles and other legalizations of corporate records and other documents.
Maintain corporate books and records, databases of legal entities.
Maintain and renew business licenses, review contracts and other documents.
Assist with managing process, billing, and budgeting for above activities
Your qualifications
Required:
Bachelor's degree
Paralegal certificate and degree or coursework in area of business or law preferred.
Minimum of 10 years of experience as a corporate paralegal including at least 4 years of prior public company and related corporate and securities law experience in-house.
In-depth experience with the preparation and review of SEC filings, including Forms 3 and 4, 10-Ks, 10-Qs, 8-Ks and proxy statements.
Experience supporting M&A, financing and other transactions, including preparation of closing certificates and related filings.
Superior organizational skills, attention to detail and strong computer skills (MS Word, Google Docs, Excel, PowerPoint and general database management).
Experience utilizing Workiva for filings and BoardVantage or similar platform preferred.
Strong working knowledge of Westlaw and EDGARpro.
Strong project management and legal research and writing experience.
Strong experience managing multiple projects simultaneously, efficiently coordinating work activities and achieving quick turnaround without compromising quality.

Experience working independently with limited required direction and guidance on simultaneous complex projects with multiple teams/stakeholders.
Team player with ability to influence and collaborate at all levels of the organization in a professional manner.
Salary Range:
The anticipated average base pay range for this position is $86,657. - $144,503. In specific locations, the pay range may vary from the base posted.
