We have a great opportunity in Rochester for a Company Secretary with a strong financial background to work for one of our clients, on a permanent basis.
You will ensure the smooth functioning of corporate governance processes within the organisation, have a strong understanding of finance, and be able to produce relevant spreadsheets.
This is an in-office role and the successful candidate will need to drive in order to reach the site for work each day.
Responsibilities
- Ensuring compliance with statutory and regulatory requirements applicable to the company, including but not limited to Companies Act, etc.
- Organising and preparing agendas, notices and minutes for board meetings, general meetings and committee meetings.
- Advising the board of directors on corporate governance matters, best practices, and regulatory changes.
- Maintaining statutory registers and records, including the register of members, directors, and charges.
- Filing statutory forms and returns with regulatory authorities within timelines.
- Managing communication with shareholders, including handling queries.
- Coordinating the annual general meeting and other shareholder meetings, ensuring compliance with legal requirements and company policies.
- Assisting in the drafting/review of legal documents, contracts, and agreements.
- Liaising with external auditors, legal counsel and regulatory authorities.
- Monitoring changes in relevant legislation and regulations and advising management on potential impacts.
- Providing support and guidance to the board of directors and senior management on governance-related matters.
- Conducting corporate governance training sessions for staff as necessary.
- Assist with or lead special projects including event planning, research and analysis.
Skills and Experience
- Professional qualification in business administration, finance or related field.
- Proven experience working as a Company Secretary or in a similar role.
- Sound knowledge of corporate governance principles, company law, and regulatory requirements.
- Excellent written and verbal communication skills, with the ability to interact effectively with stakeholders at all levels.
- Strong organisational skills and attention to detail, with the ability to manage multiple tasks simultaneously and meet deadlines.
- Proficiency in MS Office suite and familiarity with corporate governance software and tools.
- Ability to work independently and collaboratively within a team environment.
- High level of integrity and discretion in handling confidential information.
- Willingness to stay updated on industry trends, legal developments and best practices in corporate governance.
