Sr Commercial and Contracts Attorney

We have an opportunity for a Senior Commercial and Contracts Attorney to join us at Honeywell, inBracknell where you will be responsible for providing legal support for Honeywell UOP’s business in the Europe, Africa and Middle East Region. This is a hybrid role, 3 days in office, 2 from home.

Key Responsibilities

  • Review & draft a broad range of commercial agreements, such as license agreements, services agreements, guarantee agreements, and equipment/product supply agreements, with a mixture of international government/private customers operating in the refining, petrochemical, gas and renewables industries, including EPC contractors.
  • Review of third-party terms and conditions, including those issued pursuant to competitive tenders, both private and state-owned customers.
  • Assisting the Honeywell UOP Sales and Business teams to negotiate and conclude commercial agreements, including participating in F2F negotiations with external customer and their legal counsel, and adopting appropriate risk management strategies.
  • Review of disputes, claims and litigations initiated against Honeywell UOP and provide legal support in the defence and/or settlement of the same.
  • Promote compliance with all Honeywell policies, including those relating to the approval of Sales Agents, Competition Law, Export Control and the Schedule of Executive Approvals, and update intranet sites with standard documents. Review and negotiation of distributor and other such channel agreements with sales intermediaries.

Key skills and qualifications

  • Law degree and higher legal education.
  • 5+ years of experience working on varied commercial contracts, including contracts having values in excess of $10M.
  • Attention to detail and experience of, and utilization of, risk management strategies.
  • Experience in F2F negotiations with external customers and their legal counsel.
  • Experience working in the refining, petrochemical, gas and renewables industries.
